Autos legal center

The Autos legal center presents the current vehicle-specific documents, dealer obligations, plate and stock-number boundaries, lane-specific pricing, financing limits, privacy and security terms, and the current Autos legal registry.
OpenOffer Autos is designed as a digital direct vehicle-offer platform. These documents describe the current Autos operating boundaries; they do not invent a regulatory classification or replace jurisdiction-specific licensed legal advice.

1. Agreement and eligibility

By creating or using an account, accepting these Terms, or performing a protected action, you agree to the current version of the applicable OpenOffer Autos legal documents and to comply with applicable law. You represent that you have legal capacity to use the service and to make the representations and decisions you submit.
You may use the platform only for lawful, good-faith direct vehicle-offer activity. OpenOffer may restrict access by jurisdiction, role, risk state, provider availability, legal status, or safety condition.

2. Your account and credentials

You are responsible for safeguarding your account, password, passkeys, recovery codes, devices, and sessions and for promptly revoking or reporting credentials or sessions you no longer control. You may not share credentials in a way that defeats role, identity, vehicle authority, or audit controls.
OpenOffer may require identity verification, passkey or MFA step-up, recovery review, session revocation, or other security measures before permitting a protected action.

3. Direct vehicle offers and participant decisions

Offers, counters, acceptances, declines, withdrawals, messages, and contact-release authorizations must be submitted by the actual authorized participant. OpenOffer supplies the workflow but does not make the buyer's, owner's, or dealer's vehicle-transaction decision.
An in-platform status is not a substitute for final vehicle-transfer paperwork. You are responsible for determining what final contract, title, odometer, disclosure, warranty, tax, registration, insurance, financing, inspection, or other requirements apply to your vehicle transaction.

4. Your representations

Information you submit must be truthful, current, and non-misleading. If you claim vehicle owner/controller or dealer authority, you represent that you have the authority you claim and will promptly stop acting if that authority ends.
You may not misrepresent vehicle ownership, inventory status, price, condition, mileage, title, liens, warranty, licensing, identity, dealership affiliation, financing, delivery, or another material fact.

5. Autos opportunity fees and third-party providers

OpenOffer may charge a platform opportunity fee for gated contact release. In the current PLATE/private-owner lane, the buyer is the $59 payer. In the current STOCK_NUMBER/dealer lane, the buyer pays $0 and an authorized dealer is the $99 Dealer Opportunity Unlock payer. These platform fees are separate from the vehicle purchase price and are not a vehicle deposit, escrow balance, financing payment, tax, title fee, registration fee, dealer documentary fee, or other vehicle-sale proceeds.
OpenOffer may use third-party providers for identity verification, payments, hosting, email, security, and other infrastructure. Live vehicle-financing lender connections and lender data sharing are not authorized in the current build. Provider terms and privacy notices may also apply when a provider service is actually used.

6. Communications

Account, security, vehicle-opportunity, transaction, and service communications may be sent as necessary to operate the service. Optional marketing or promotional communications, if enabled, are subject to applicable consent and opt-out requirements.
SMS/text delivery is intentionally deferred in the current launch scope. OpenOffer must separately approve and prove the consent, opt-out, provider, recordkeeping, and legal-compliance flow before activating text-message delivery.

7. Suspension, holds, and enforcement

OpenOffer may reject, hold, limit, suspend, revoke, or terminate access or a workflow when reasonably necessary for suspected fraud, abuse, identity or vehicle-authority uncertainty, payment issues, chargebacks, security events, legal compliance, sanctions or unlawful activity, provider limitations, or protection of users or the platform.
A hold is a platform safety state and is not a decision that a vehicle transaction must or must not occur outside OpenOffer.

8. Intellectual property and submitted content

OpenOffer and its software, branding, workflows, design, documentation, and platform materials are protected by applicable intellectual-property law. Except for rights expressly granted to use the service, no ownership interest is transferred to you.
You retain rights you lawfully hold in content you submit, but you grant OpenOffer the limited rights reasonably necessary to host, process, moderate, transmit, secure, audit, and display that content to operate and protect the service and comply with law.

9. Disclaimers and allocation of risk

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED ON AN AS-AVAILABLE BASIS AND OPENOFFER DOES NOT WARRANT THAT A VEHICLE, PARTICIPANT, DEALER, TITLE, LIEN STATUS, MILEAGE, CONDITION, PRICE, FINANCING, PAYMENT, DELIVERY, OR TRANSACTION WILL BE ACCURATE, SAFE, LAWFUL, AVAILABLE, OR COMPLETED.
Nothing in these Terms excludes rights or liabilities that applicable law does not permit to be excluded. Any governing-law, forum, arbitration or class-waiver provision, liability cap, indemnity wording, or jurisdiction-specific consumer term that is activated must be based on qualified licensed-counsel approval for the applicable jurisdiction rather than invented product language.

What the current Autos legal stack covers

Digital platform boundary
OpenOffer supplies direct vehicle-offer software and protected connection rails; the actual buyer, owner, or authorized dealer makes the vehicle decision and completes any resulting sale.
Participant-authored decisions
Offers, counters, acceptances, declines, withdrawals, negotiation messages, and release choices remain participant-controlled. Platform safeguards may protect a workflow but OpenOffer does not negotiate as a participant.
Identity and authority are separate
Verify Once answers identity. Vehicle owner/controller authority, dealership authority, staff role, and stock-number inventory authority remain separate protected checks.
Lane-specific OpenOffer platform fee
The private-owner PLATE lane uses the current $59 buyer platform fee. The dealer STOCK_NUMBER lane is $0 to the buyer and uses the current $99 authorized-dealer platform fee. Neither fee is payment for the vehicle.
Mutual contact release
Payment alone never buys another participant's contact information. The exact eligible participants must separately authorize release for the exact protected connection, and required safety checks must complete before release.
Dealer responsibility stays with the dealer
Dealer licensing, inventory authority, advertising, required vehicle disclosures, title and lien work, warranties, taxes, registration, financing compliance, and other regulated seller duties stay with the actual dealer.
Financing remains a connection boundary
Financing-interest signals do not make OpenOffer a lender. Live lender connections and lender data sharing remain disabled; any future connection requires explicit customer authorization and lender-owned underwriting.
Privacy, security, and fail-closed operation
The Autos stack addresses protected motor-vehicle-record information, identity-provider boundaries, release-sensitive data, security controls, communications limits, auditability, jurisdiction limits, and the ability to hold or disable a workflow when required truth is missing.
Current Production operating posture
The authoritative legal documents above remain tied to the current Autos legal registry and acceptance gates. OpenOffer Autos is live in Production, while protected actions continue to fail closed when required identity, vehicle or dealer authority, legal acceptance, payment, contact-sharing approval, or safety truth is missing. SMS/text alerts and live lender connections remain unavailable unless their separate requirements and controls are satisfied.
